Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (the business or individual using the service, “you”) and JTWI Ltd (trading as ServeBusiness), a company registered in England & Wales (company no. [company number]), whose registered office is at 6 Bream, Tamworth, B77 1HR, United Kingdom(“ServeBusiness”, “we”, “us”). They govern your access to and use of the ServeBusiness platform, websites and related services (the “Service”). By creating an account or using the Service you agree to these Terms.

1. The Service

ServeBusiness provides software that helps service businesses take bookings, manage customers, send invoices and quotes, communicate with customers, and take payments. The Service is provided on a subscription basis. We may update, improve or change the Service from time to time.

2. Eligibility & your account

  • You must be at least 18 and able to enter into a binding contract.
  • You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You are responsible for all activity under your account.
  • You must notify us promptly of any unauthorised use of your account.

3. Subscriptions, trials, fees & billing

  • Paid plans and their prices are shown at sign-up and on our pricing page. Prices are exclusive of VAT unless stated otherwise.
  • New subscriptions may include a free trial. If you do not cancel before the trial ends, your subscription begins and the plan fee becomes payable.
  • Subscriptions renew automatically for successive periods until cancelled. You authorise us and our payment processor to charge your payment method for each period.
  • We may change plan pricing on reasonable notice; changes take effect at your next renewal.
  • Fees already paid are non-refundable except where required by law or expressly stated.

4. Cancellation

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period; you retain access until then. We may retain your data for a limited period after cancellation as described in our Privacy Policy.

5. Payments you take from your customers

Card payments you take from your own customers are processed by Stripeunder Stripe’s applicable terms, and you may be required to accept a connected-account agreement with Stripe. In respect of those payments:

  • You (not ServeBusiness) are the merchant of record for your customers’ transactions and are responsible for the underlying goods or services, refunds, chargebacks and disputes.
  • You are responsible for complying with all laws applicable to your business, including consumer, tax and payment rules.
  • We charge a platform fee on transactions as described in your plan; Stripe charges its own processing fees.

6. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service unlawfully, fraudulently, or to send unsolicited marketing in breach of applicable law (e.g. PECR/UK GDPR);
  • upload content that is unlawful, infringing, harmful or that you have no right to use;
  • attempt to gain unauthorised access to, disrupt, or reverse-engineer the Service;
  • resell or provide the Service to third parties except as permitted by your plan.

7. Your content & your customers’ data

You retain ownership of the content and data you put into the Service. You grant us a licence to host and process it solely to provide and support the Service. As between you and us, you are the data controller of your customers’ personal data and we process it on your behalf as your processor. Our processing of that data is governed by our Data Processing Agreement, which forms part of these Terms, and is further described in our Privacy Policy. You are responsible for having a lawful basis to collect and share that data with us.

8. Our intellectual property

The Service, including its software, design and content (excluding your content), is owned by ServeBusiness and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. All rights not expressly granted are reserved.

9. Third-party services

The Service integrates third-party providers (for example Stripe for payments, and providers for email and SMS delivery). Your use of those features may be subject to the third party’s terms, and we are not responsible for third-party services.

10. Availability & warranties

We aim to keep the Service available and reliable but do not guarantee it will be uninterrupted or error-free. Except as expressly stated and to the fullest extent permitted by law, the Service is provided “as is” and we exclude all implied warranties.

11. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for loss of profits, revenue, data, or goodwill, or for indirect or consequential loss; and our total liability arising out of or in connection with the Service in any 12-month period is limited to the fees you paid us in that period. 12. Indemnity

You agree to indemnify us against claims, losses and costs arising from your breach of these Terms, your content or data, or your dealings with your own customers.

13. Suspension & termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or where necessary to protect the Service or other users. You may stop using the Service at any time. On termination your right to use the Service ends; data handling on termination is described in our Privacy Policy.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will give reasonable notice (for example by email or in-app). Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, subject to any mandatory rights you have as a consumer.
